1. Acceptance of Terms

By accessing or using the Card Hero platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Card Hero is operated by Card Hero Inc., a C Corporation registered in the United States ("Card Hero," "we," "our," or "us").

These Terms apply to all users of the Service, including users who connect advertising accounts from Meta (Facebook/Instagram), Google Ads, TikTok Ads, or other platforms.

2. Description of Service

Card Hero is a marketing analytics and optimization platform that allows users to:

• Connect advertising accounts from multiple platforms (Meta, Google, TikTok)
• View unified dashboards of advertising performance metrics
• Analyze campaign, ad set, and ad performance
• Receive AI-powered optimization recommendations
• Manage campaigns (pause, resume, adjust budgets) where supported
• Track marketing decisions and changes

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal authority to enter into these Terms
• Have authorization to access and manage the advertising accounts you connect
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Third-Party Platform Connections

Platform Terms Compliance

Your use of the Service in connection with third-party platforms must comply with:

• Meta: Meta Terms of Service and Advertising Policies
• Google: Google Ads Terms
• TikTok: TikTok Ads Terms

Data Access Limitations

We are not responsible for:

• Changes to third-party platform APIs that affect our Service
• Data accuracy issues originating from third-party platforms
• Service interruptions caused by third-party platform outages
• Revocation of access by third-party platforms

6. Acceptable Use

You agree to use the Service only for lawful purposes. You agree NOT to:

• Use the Service for any unlawful, fraudulent, or malicious purpose
• Violate any applicable advertising platform policies or terms
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Use automated tools (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense the Service without authorization
• Use the Service to infringe on intellectual property rights
• Upload malicious code or content
• Impersonate any person or entity
• Use the Service to send spam or unsolicited communications

7. Data Use and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Your Data

You retain all rights to your advertising data. By using the Service, you grant us a limited license to access, process, and display this data solely to provide the Service to you.

Our Commitments

• We do not sell your advertising data to third parties
• We do not use your data for our own advertising purposes
• We delete your data when you disconnect platforms or close your account
• We comply with Meta, Google, and TikTok platform data policies

8. Intellectual Property

Our Property

The Service, including its design, features, functionality, code, and content (excluding your data), is owned by Card Hero and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended business purpose.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Fees and Payment

Certain features of the Service may require payment. If applicable:

• Fees will be clearly disclosed before you incur charges
• You authorize us to charge your selected payment method
• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable unless otherwise stated
• We may change fees with 30 days' notice

If payment fails, we may suspend access until payment is received.

10. Disclaimers

We do not warrant or guarantee that:

• The Service will be uninterrupted, error-free, or secure
• Data from third-party platforms will always be accurate or available
• Optimization recommendations will result in improved advertising performance
• The Service will meet your specific requirements
• Any errors or defects will be corrected

Advertising Results: Card Hero provides analytics and recommendations, but we do not guarantee any specific advertising results, returns, or performance improvements. Advertising performance depends on many factors outside our control.

11. Limitation of Liability

Our total liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amounts paid by you to Card Hero in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Card Hero and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including platform terms)
• Your advertising content or campaigns
• Any misrepresentation by you

13. Termination

By You

You may terminate your account at any time by:

• Using the account deletion feature in Settings
• Contacting us at support@cardhero.fun

By Us

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Violation of applicable laws or third-party platform terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Non-payment of fees (if applicable)
• Any other reason at our discretion with notice

Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We will delete your data in accordance with our Privacy Policy
• Provisions that should survive termination (liability, indemnification, governing law) remain in effect

14. Modifications to Service

We reserve the right to:

• Modify, update, or discontinue features of the Service
• Temporarily suspend the Service for maintenance
• Discontinue the Service entirely with reasonable notice

We will make reasonable efforts to notify users of significant changes.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date
• We will notify you via email or in-app notification
• Continued use after changes constitutes acceptance

If you do not agree to updated Terms, you must stop using the Service and close your account.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17. Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@cardhero.fun to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

Binding Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, USA, or remotely at your election.

Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis and not as a class, consolidated, or representative action.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Card Hero.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Notices: We may send notices via email or through the Service. You may send notices to legal@cardhero.fun.
